These Terms & Conditions (“Terms”) govern your access to and use of the AuraSync platform, including our website, dashboards, software, APIs, AI tools, messaging, telephony features, and all related services (collectively, the “Service”). “AuraSync,” “we,” “us,” or “our” refers to AuraSync Technologies, LLC. “User,” “you,” or “your” refers to the individual or entity accessing or using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

THE SERVICE

AuraSync provides an AI-powered business automation platform that may include AI voice and call handling, SMS and messaging automation, appointment booking and scheduling, CRM tools and integrations, lead management and workflows, analytics, dashboards, reporting, and custom automations or integrations. Certain features rely on artificial intelligence and third-party services. AI-generated outputs are probabilistic and may contain inaccuracies. You are solely responsible for reviewing and approving all outputs before use.

ELIGIBILITY & ACCOUNT REGISTRATION

You must be at least 18 years old or the age of majority in your jurisdiction and legally capable of entering into a binding agreement. You agree to provide accurate, complete, and current information when creating an account and to keep such information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. AuraSync is not responsible for unauthorized access caused by your failure to secure your credentials. You must notify AuraSync immediately if you suspect unauthorized access or misuse of your account.

ACCEPTABLE USE POLICY

You agree not to use the Service to violate any applicable law or regulation, send unlawful, deceptive, or unsolicited communications, harass, abuse, defame, discriminate, or threaten others, target minors or collect data from minors, upload malware or harmful code, attempt to bypass system limits or security safeguards, misrepresent your identity or affiliation, or interfere with or disrupt the Service. AuraSync reserves the right to suspend or terminate accounts that violate this section.

COMPLIANCE WITH COMMUNICATION LAWS

You are solely responsible for compliance with all applicable communication and privacy laws, including but not limited to TCPA, CAN-SPAM, GDPR, CCPA, and Do-Not-Call regulations. You represent and warrant that you have obtained all required consents from your contacts before using AuraSync’s calling, SMS, or messaging features. AuraSync does not provide legal advice or compliance guarantees.

CUSTOMER CONTENT & DATA

You retain ownership of all data, content, contact lists, scripts, recordings, and materials you upload or provide (“Customer Content”). You grant AuraSync a limited, non-exclusive, royalty-free license to use Customer Content solely to operate, maintain, and improve the Service. You are responsible for the legality, accuracy, and integrity of Customer Content and for ensuring you have all necessary rights and permissions. AI-generated outputs are provided “as-is” without warranties of accuracy or fitness for a particular purpose.

FEES, BILLING & PAYMENTS

Subscription fees are billed in advance on a recurring basis according to your selected plan. Certain features incur usage-based fees, including but not limited to calls, SMS, AI processing, and third-party services. You are responsible for all usage associated with your account. All fees are non-refundable unless explicitly stated otherwise in writing. Failure to pay may result in suspension or termination without notice. You are responsible for all applicable taxes, duties, and governmental assessments.

PROPRIETARY TOOLS & INTELLECTUAL PROPERTY

All software, workflows, algorithms, designs, branding, and proprietary tools provided by AuraSync remain the exclusive property of AuraSync. You may not copy, reverse-engineer, resell, sublicense, distribute, or create derivative works from the Service or any proprietary components. Unauthorized use or duplication of AuraSync systems or configurations may result in immediate termination and legal action.

CUSTOM DEVELOPMENT & PROFESSIONAL SERVICES

Custom development, integrations, workflows, or consulting services are not included unless explicitly agreed upon in writing. Custom work is billable, non-refundable, and subject to agreed-upon scope, timelines, and payment terms. Unless otherwise agreed, AuraSync retains ownership of underlying tools and frameworks used in custom work.

TERMINATION & SUSPENSION

AuraSync may suspend or terminate your access at any time for violation of these Terms, non-payment, misuse, or legal risk. You may cancel your subscription at any time; however, cancellation does not entitle you to a refund. Upon termination, your access to the Service will cease immediately, and you remain responsible for outstanding fees.

DISCLAIMERS

The Service is provided on an “as-is” and “as-available” basis. AuraSync disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AuraSync does not guarantee uninterrupted service, error-free operation, or specific results.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, AuraSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption. AuraSync’s total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

INDEMNIFICATION

You agree to indemnify and hold harmless AuraSync, its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, Customer Content, or violation of these Terms or applicable laws.

NON-DISPARAGEMENT & BRAND USE

You agree not to make false, misleading, or disparaging statements about AuraSync, its services, or its personnel. You may not use AuraSync branding, trademarks, or name without prior written consent.

GOVERNING LAW & ARBITRATION

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute shall be resolved through binding arbitration. You waive the right to a jury trial and participation in class actions.

CHANGES TO TERMS

AuraSync may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
